TERMS OF SERVICE
Effective Date: 9/15/2026
Last Updated: 9/15/2026
These Terms of Service (the “Terms”) are a binding agreement between Patrol Forge LLC, a New Mexico Limited Liability Company (“Operator,” “Patrol Forge LLC Multiple Company,” “we,” “us,” or “our”), and the business or other legal entity that accepts an Order Form or otherwise creates or uses a paid account (“Customer,” “you,” or “your”). These Terms govern access to and use of the Patrol Forge LLC Multiple Company websites, hosted software, mobile-responsive interfaces, application programming interfaces, support, documentation, and related services (collectively, the “Services”).
PLEASE READ THESE TERMS CAREFULLY. BY SIGNING AN ORDER FORM, CLICKING TO ACCEPT, CREATING AN ACCOUNT, ACCESSING, OR USING THE SERVICES, YOU REPRESENT THAT YOU HAVE AUTHORITY TO BIND CUSTOMER AND AGREE TO THESE TERMS. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THE SERVICES.
1. DEFINITIONS
“Authorized User” means an individual whom Customer authorizes to access the Services, including dispatchers, supervisors, administrators, officers, employees, contractors, client representatives, and other permitted users.
“Customer Data” means data, content, records, communications, files, images, locations, personnel details, property information, standard operating procedures, CAD records, emergency events, and other information submitted to or processed through the Services by or for Customer or its Authorized Users.
“Dispatch Organization” means the Customer tenant that operates dispatch services and may manage multiple Serviced Companies.
“Documentation” means the then-current user documentation and technical instructions we make available for the Services.
“Order Form” means an ordering document, online checkout, subscription selection, or other written ordering record identifying Services, fees, subscription period, limits, or additional terms.
“Serviced Company” means a security company or other organization managed within a Dispatch Organization’s tenant.
“Subscription Term” means the period during which Customer is authorized to use paid Services.
2. CONTRACT STRUCTURE AND ORDER OF PRECEDENCE
These Terms, each applicable Order Form, the Privacy Policy, Acceptable Use Policy, Cookie Policy, any Data Processing Addendum (“DPA”), any Service Level Agreement (“SLA”), and other documents expressly incorporated by reference form the “Agreement.” If there is a conflict, the following order controls unless an Order Form expressly states otherwise: (a) DPA for personal-data processing issues; (b) Order Form; (c) SLA; (d) these Terms; and (e) other incorporated policies. A purchase order is for administrative convenience only and does not modify the Agreement unless we expressly sign it.
3. BUSINESS SERVICE; AUTHORITY; ELIGIBILITY
3.1 Business Use. The Services are designed primarily for dispatch organizations and other business customers, not personal, family, or household use.
3.2 Authority. Each person accepting the Agreement represents that the person is at least 18 years old, has legal capacity, and has authority to bind Customer. Customer is responsible for ensuring each Authorized User is legally permitted and appropriately trained to perform the duties assigned to that user.
3.3 Account Information. Customer must provide complete and accurate account, billing, and contact information and keep it current. We may rely on the designated account owner and administrators for instructions concerning Customer’s account.
4. ACCESS RIGHTS AND RESTRICTIONS
4.1 Limited Right. Subject to the Agreement and payment of applicable fees, we grant Customer a limited, non-exclusive, non-transferable, non-sublicensable right during the Subscription Term to allow Authorized Users to access and use the Services for Customer’s internal business operations and lawful dispatch services.
4.2 Documentation. Customer may use the Documentation solely in connection with authorized use of the Services.
4.3 Restrictions. Customer and Authorized Users may not: (a) copy, modify, translate, or create derivative works of the Services except where expressly permitted; (b) reverse engineer, decompile, disassemble, or attempt to discover source code except to the extent a restriction is prohibited by law; (c) sell, resell, sublicense, timeshare, or provide the Services to an unauthorized third party; (d) bypass access controls, usage limits, or security features; (e) interfere with, disrupt, probe, scan, or test the vulnerability of the Services without written authorization; (f) access the Services to build or benchmark a competing product, except where prohibited by law; (g) remove proprietary notices; or (h) use the Services unlawfully or contrary to the Acceptable Use Policy.
4.4 Plan Limits. Customer’s plan may limit Serviced Companies, dispatch users, officers, API access, storage, or other capacity. Unless an Order Form states otherwise, plan limits restrict creation of new resources but do not authorize Customer to exceed limits indefinitely. We may require an upgrade or charge agreed overage fees before allowing additional resources.
5. CUSTOMER ACCOUNTS AND ACCESS MANAGEMENT
5.1 Customer Control. Customer controls its Authorized Users, roles, capabilities, company access, dispatcher assignments, client access, aid agreements, and approval settings. Customer is responsible for configuring access according to least-privilege principles and promptly removing access when it is no longer needed.
5.2 Credentials. Each Authorized User must use an individual account and keep credentials confidential. Accounts may not be shared. Customer must use reasonable safeguards, enable available security controls, and promptly notify us at support@patrolforge.com of suspected unauthorized access or compromised credentials.
5.3 Administrator Actions. Customer is responsible for actions taken by its account owners and administrators, including invitations, role assignments, approvals, data exports, configuration changes, integrations, publication of SOPs, and access granted to Serviced Companies or clients.
5.4 Devices and Networks. Customer is responsible for its devices, telecommunications, internet connectivity, browsers, operating systems, audio permissions, endpoint security, and local network reliability.
6. MULTI-COMPANY OPERATIONS AND TENANT RESPONSIBILITIES
6.1 Tenant Structure. The Services organize Customer Data under a Dispatch Organization and its Serviced Companies. Customer must assign data to the correct company and verify company identity before taking operational or high-risk actions.
6.2 Serviced Companies. Customer represents that it has all contracts, authority, permissions, and lawful bases necessary to create and administer each Serviced Company, manage its personnel and resources, receive its information, and provide it with access.
6.3 Aid and Shared Visibility. Aid agreements do not by themselves authorize disclosure of data. Customer is responsible for configuring aid agreements and activating cross-company visibility only when permitted by contract, policy, law, and operational need. Shared personnel and resources retain their home-company identity.
6.4 Client Access. Customer is responsible for deciding whether a client may access the client portal and which properties or information the client may see. Customer must not expose another client’s or Serviced Company’s data without authorization.
7. CRITICAL OPERATIONS, EMERGENCIES, AND SAFETY
7.1 Operational Tool Only. The Services are workflow, information-management, and communications tools. Unless a separate written agreement expressly states otherwise, Operator is not a public safety answering point, emergency communications center, alarm monitoring company, security guard company, law-enforcement agency, medical provider, or provider of emergency response services.
7.2 Not a 911 Replacement. THE SERVICES ARE NOT A SUBSTITUTE FOR 911, LOCAL EMERGENCY SERVICES, RADIO COMMUNICATIONS, TELEPHONE COMMUNICATIONS, OR CUSTOMER’S REQUIRED EMERGENCY PROCEDURES. CUSTOMER AND AUTHORIZED USERS MUST CONTACT 911 OR THE APPROPRIATE PUBLIC SAFETY AUTHORITY WHEN CIRCUMSTANCES REQUIRE IT.
7.3 No Guaranteed Delivery. Emergency buttons, alerts, notifications, sounds, emails, text messages, webhooks, location information, welfare checks, and escalations may be delayed, incomplete, inaccurate, muted, blocked, unavailable, or undelivered because of device settings, connectivity, third-party services, configuration, maintenance, user action, or other conditions. Customer must maintain tested backup communications and response procedures and may not rely on any single feature as its sole life-safety mechanism.
7.4 Human Review. The Services do not replace trained dispatch judgment. Customer is responsible for staffing, supervision, verification, escalation, acknowledgment, response, and closure of calls, emergencies, welfare checks, and aid activations.
7.5 Location and Status Data. Location, proximity, unit status, timestamps, and mapping information may be estimated, delayed, or inaccurate. Authorized Users must verify material information through appropriate channels before relying on it.
7.6 Configuration and Testing. Customer must configure emergency contacts, permissions, audio, notifications, assignments, aid rules, and SOPs; train Authorized Users; regularly test workflows and backup procedures; and investigate missed or unexpected alerts.
8. CUSTOMER DATA
8.1 Ownership. As between the parties, Customer retains its rights in Customer Data. Customer grants Operator and its subprocessors a non-exclusive, worldwide right to host, copy, transmit, display, process, and otherwise use Customer Data only as necessary to provide, secure, support, and improve the Services; comply with law; enforce the Agreement; and prevent harm.
8.2 Customer Responsibilities. Customer is responsible for the accuracy, quality, legality, and integrity of Customer Data and the means by which it was obtained. Customer represents it has provided all notices and obtained all rights, permissions, and consents necessary for Operator to process Customer Data as contemplated by the Agreement.
8.3 Sensitive Data. Unless expressly supported by the Documentation and authorized in writing, Customer must not submit payment-card data, Social Security numbers, government identification numbers, protected health information subject to HIPAA, biometric identifiers, criminal-justice information subject to CJIS requirements, classified information, or other specially regulated data. The parties must execute any legally required addendum before such processing begins.
8.4 Personnel and Location Data. Customer is solely responsible for employment, labor, union, surveillance, location-tracking, recording, biometric, and workplace notices or consents relating to officers, dispatchers, employees, contractors, and other individuals.
8.5 Data Export and Backup. Customer should export and retain records required for legal, regulatory, insurance, employment, client, or operational purposes. The Services are not Customer’s exclusive records-retention or disaster-recovery system unless an Order Form expressly states otherwise.
8.6 Deidentified Data. We may create and use aggregated or deidentified information that cannot reasonably identify Customer, an Authorized User, or another person, and we will not attempt to reidentify it except to test deidentification or as permitted by law.
9. PRIVACY AND DATA PROCESSING
9.1 Privacy Policy. Our Privacy Policy describes how we process personal information in connection with the Services and is incorporated into the Agreement where applicable.
9.2 Roles. Depending on the data and applicable law, Customer generally determines why and how Customer Data is processed, and Operator generally processes that data on Customer’s behalf to provide the Services. The parties’ legally defined roles may vary by processing activity and jurisdiction.
9.3 DPA. If applicable law requires a DPA, the parties will execute Operator’s then-current DPA before covered processing. Customer is responsible for determining whether a DPA or international data-transfer mechanism is required.
9.4 Legal Requests. We may preserve or disclose information when reasonably necessary to comply with law, valid legal process, enforce the Agreement, protect rights or safety, or investigate fraud or security incidents. Where legally permitted, we will direct requests for Customer Data to Customer or notify Customer.
10. SECURITY
10.1 Safeguards. We will maintain reasonable administrative, technical, and organizational safeguards designed to protect Customer Data against unauthorized access, use, alteration, and disclosure, taking into account the nature of the Services and information processed.
10.2 Shared Responsibility. Security is shared. Customer is responsible for access configuration, credential protection, endpoint and network security, Authorized User conduct, integration credentials, lawful data collection, and responding to notices concerning its account.
10.3 No Absolute Security. No system, transmission, or storage method is completely secure. We do not guarantee that unauthorized parties will never defeat safeguards or that the Services will be uninterrupted or free of vulnerabilities.
10.4 Security Incidents. We will respond to confirmed security incidents as required by applicable law and any signed DPA. Customer must promptly provide information and cooperation reasonably needed to investigate incidents involving Customer-controlled systems, credentials, or Authorized Users.
10.5 Security Testing. Customer may not conduct penetration testing or automated security scanning without prior written authorization. Good-faith vulnerability reports should be sent to support@patrolforge.com and must follow our published vulnerability-disclosure instructions, if any.
11. ACCEPTABLE USE AND CUSTOMER COMPLIANCE
11.1 Lawful Use. Customer must use the Services in compliance with the Agreement, Documentation, applicable law, contracts with Serviced Companies and clients, licensing requirements, and professional or industry obligations.
11.2 Prohibited Conduct. Customer may not use the Services to violate rights; facilitate unlawful discrimination, harassment, stalking, surveillance, violence, fraud, or impersonation; transmit malware; send unlawful communications; interfere with systems; access data without authorization; or process information in a manner prohibited by law.
11.3 Regulated Activities. Customer is responsible for determining whether its dispatch, alarm, guard, recording, surveillance, communications, data-retention, export, or other activities require licenses, registrations, notices, permits, or contractual terms. Operator does not provide legal or regulatory advice.
11.4 Cooperation. Customer will reasonably cooperate with investigations of suspected violations. We may remove or restrict content or access when reasonably necessary to prevent harm, protect the Services, or comply with law.
12. THIRD-PARTY SERVICES AND INTEGRATIONS
12.1 Third-Party Services. The Services may interoperate with payment processors, email providers, telecommunications providers, mapping providers, hosting services, identity providers, webhooks, APIs, or other third-party products. Third-party services are governed by their own terms and privacy practices.
12.2 Authorization. Customer authorizes us to exchange Customer Data with a third-party service when Customer enables or requests the integration. Customer is responsible for third-party accounts, credentials, configuration, fees, and instructions.
12.3 No Control. We are not responsible for third-party services, their availability, acts, omissions, security, accuracy, or changes. We may suspend an integration if needed to protect the Services or comply with a third party’s requirements.
12.4 Payment Processors. Payment-card and banking information may be collected directly by Stripe, Authorize.Net, or another identified payment processor. Operator does not promise to store complete payment-card numbers. Processing is subject to the processor’s terms and privacy policy.
13. FEES, TAXES, AND PAYMENT
13.1 Fees. Customer will pay all fees stated in the applicable Order Form. Except where the Agreement or law states otherwise, fees are non-cancelable and non-refundable, and payment obligations are not contingent on Customer’s use volume.
13.2 Billing Authorization. Customer authorizes Operator and its payment processor to charge the selected payment method for recurring fees, usage charges, taxes, and other amounts disclosed before purchase. Customer must keep payment information current.
13.3 Recurring Subscriptions. UNLESS AN ORDER FORM STATES OTHERWISE, PAID SUBSCRIPTIONS AUTOMATICALLY RENEW FOR SUCCESSIVE PERIODS EQUAL TO THE EXPIRING SUBSCRIPTION TERM UNTIL CANCELED. BEFORE CUSTOMER SUBSCRIBES, THE ORDERING PROCESS MUST DISCLOSE THE PRICE, BILLING FREQUENCY, TRIAL OR PROMOTIONAL PERIOD, RENEWAL TERMS, AND CANCELLATION METHOD.
13.4 Trials and Promotions. If Customer begins a trial requiring payment information, the Order Form will state whether the trial converts to a paid subscription, when charges begin, and how to cancel. Unless prohibited by law, one trial per Customer may be enforced, and we may modify or end a promotion prospectively.
13.5 Invoices and Late Amounts. Unless an Order Form states otherwise, invoiced amounts are due within 7 days. Undisputed overdue amounts may accrue interest at the lesser of 1.5% per month or the maximum lawful rate. Customer will reimburse reasonable collection costs. We may suspend paid features after reasonable notice of nonpayment.
13.6 Billing Disputes. Customer must notify us at billing@patrolforge.com of a good-faith billing dispute within 10 days after the charge or invoice and provide sufficient detail. The parties will work in good faith to resolve timely disputes.
13.7 Taxes. Fees exclude sales, use, excise, value-added, and similar transaction taxes. Customer is responsible for applicable taxes other than taxes based on Operator’s net income. If Customer claims an exemption, it must provide valid documentation before billing.
13.8 Price Changes. We may change fees for a renewal term by providing at least 15 days’ advance notice, unless a shorter period is permitted by an Order Form or required because of taxes or third-party charges. Continued use after renewal constitutes acceptance of the disclosed renewal price.
14. CANCELLATION AND REFUNDS
14.1 Cancellation Method. Customer may cancel renewal through the available account billing controls or by contacting billing@patrolforge.com. Cancellation will be at least as easy as enrollment where required by law. Customer should retain the cancellation confirmation.
14.2 Effect of Cancellation. Unless stated otherwise at purchase, cancellation stops future renewal and takes effect at the end of the then-current paid Subscription Term. Customer remains responsible for charges incurred before cancellation.
14.3 Refunds. Except as expressly stated in an Order Form, required by law, or approved by Operator in writing, fees already paid are non-refundable and partial periods are not prorated. This provision does not limit any non-waivable legal right.
14.4 Processor Timing. Payment processors and financial institutions control settlement and refund timing. We are not responsible for delays after we submit an authorized refund.
15. SERVICE OPERATION, SUPPORT, AND CHANGES
15.1 Availability. We will use commercially reasonable efforts to provide the Services. Maintenance, updates, emergencies, third-party failures, internet conditions, force majeure events, and security needs may cause interruptions. Any availability commitment applies only if stated in a signed SLA.
15.2 Support. Support channels, hours, and response targets are those stated in the applicable plan, Order Form, or Documentation. A response target is not a resolution guarantee.
15.3 Changes. We may improve, modify, replace, or discontinue features. We will provide reasonable advance notice of a material reduction in core paid functionality when practicable. We may make immediate changes for security, legal, abuse-prevention, or third-party reasons.
15.4 Beta Features. Preview, beta, trial, or early-access features are optional, may be changed or discontinued at any time, and are provided “as is” without SLA commitments. Customer should not use beta features for production or safety-critical operations unless expressly authorized.
16. INTELLECTUAL PROPERTY
16.1 Operator Technology. Operator and its licensors own all rights in the Services, Documentation, software, designs, workflows, trademarks, and related technology, including improvements and derivative works, excluding Customer Data. No rights are granted except as expressly stated.
16.2 Customer Data. Customer retains ownership of Customer Data subject to the processing rights granted in the Agreement.
16.3 Feedback. If Customer provides suggestions or feedback, Customer grants Operator a perpetual, irrevocable, worldwide, royalty-free right to use it without restriction or attribution, provided we do not identify Customer as the source without permission.
16.4 Publicity. Operator may not use Customer’s name, trademarks, or logo in public marketing without Customer’s prior permission, except to identify Customer internally or as required by law.
17. COPYRIGHT COMPLAINTS
If the Services allow user-stored content and Operator has registered a designated copyright agent, copyright notices should be sent to our registered agent information found in section 27.2. A notice must identify the copyrighted work, identify the allegedly infringing material and its location, provide the complaining party’s contact information, include required good-faith and accuracy statements, and contain a physical or electronic signature. Operator may remove content and terminate repeat infringers where appropriate. Do not publish this section as a claim of DMCA safe-harbor compliance unless the designated agent and required registration are current.
18. CONFIDENTIALITY
18.1 Confidential Information. “Confidential Information” means nonpublic information disclosed by one party (“Discloser”) to the other (“Recipient”) that is identified as confidential or reasonably should be understood as confidential, including Customer Data, security information, product plans, credentials, pricing, and business information.
18.2 Protection and Use. Recipient will use Confidential Information only to perform or exercise rights under the Agreement, protect it using at least reasonable care, and disclose it only to personnel, professional advisers, and contractors who need to know it and are bound by confidentiality obligations.
18.3 Exclusions. Confidential Information does not include information Recipient can document: (a) is public through no breach; (b) was lawfully known without restriction; (c) was received lawfully from a third party without confidentiality duty; or (d) was independently developed without use of Confidential Information.
18.4 Required Disclosure. Recipient may disclose information when legally required if, where permitted, it gives prompt notice and reasonable assistance at Discloser’s expense. Recipient will disclose only the portion legally required.
19. SUSPENSION
We may suspend access when reasonably necessary to: (a) address an actual or suspected security threat; (b) prevent unlawful use, material harm, or interference; (c) comply with law or a government request; (d) address overdue undisputed amounts after required notice; or (e) address a material breach. When practicable, we will limit the suspension, provide notice, and work with Customer to restore access after the cause is resolved. Emergency safety and data-export implications should be considered before suspension when circumstances permit.
20. TERM AND TERMINATION
20.1 Term. The Agreement begins when Customer first accepts it and continues until all Subscription Terms and authorized access end.
20.2 Termination for Cause. Either party may terminate the Agreement or an affected Order Form if the other party materially breaches and does not cure within 7 days after written notice. A party may terminate immediately if the other becomes insolvent, ceases business without a successor, or commits a breach that cannot reasonably be cured.
20.3 Termination by Operator. We may terminate or decline renewal for legal, security, abuse, nonpayment, discontinued-service, or business reasons, subject to the Agreement and applicable law. If we terminate a prepaid subscription for convenience rather than Customer breach, we will refund prepaid fees allocable to the unused period.
20.4 Effect. Upon expiration or termination, Customer’s access ends, outstanding fees become due, and each party must return or destroy the other’s Confidential Information subject to legal retention duties and routine protected backups.
20.5 Data Retrieval and Deletion. For 30 days after expiration or termination, Customer may request a commercially reasonable export of available Customer Data unless access is legally prohibited, the account was terminated for unlawful conduct, or the data has already been deleted under the Agreement. After that period, we may delete Customer Data according to our retention practices and legal obligations. Customer is responsible for exporting needed records before access ends.
20.6 Survival. Provisions that by their nature should survive will survive, including payment obligations, intellectual property, confidentiality, disclaimers, liability limits, indemnification, dispute terms, and general provisions.
21. REPRESENTATIONS AND WARRANTIES
21.1 Mutual Authority. Each party represents that it has authority to enter the Agreement.
21.2 Operator Limited Warranty. Operator warrants that paid Services will perform materially in accordance with the applicable Documentation under normal authorized use. Customer’s exclusive remedy for a verified breach is for Operator to use commercially reasonable efforts to correct the nonconformity; if Operator cannot do so, Customer may terminate the affected Order Form and receive a prorated refund of prepaid fees for the unused affected period. This warranty does not apply to misuse, unauthorized changes, third-party services, unsupported environments, beta features, or free Services.
21.3 Customer Warranties. Customer represents that its Customer Data, instructions, configurations, dispatch activities, and use of the Services comply with law and do not infringe or violate third-party rights or contracts.
22. DISCLAIMERS
EXCEPT FOR EXPRESS WARRANTIES IN THE AGREEMENT AND TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES, DOCUMENTATION, BETA FEATURES, AND SUPPORT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” OPERATOR AND ITS LICENSORS DISCLAIM ALL IMPLIED OR STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
OPERATOR DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR SUITABLE AS THE SOLE SYSTEM FOR EMERGENCY, LIFE-SAFETY, LEGAL-COMPLIANCE, EVIDENTIARY, RECORDS-RETENTION, OR DISASTER-RECOVERY PURPOSES. OPERATOR DOES NOT CONTROL OR GUARANTEE THE PERFORMANCE OF AUTHORIZED USERS, CUSTOMER PROCEDURES, THIRD-PARTY SERVICES, TELECOMMUNICATIONS, OR EMERGENCY RESPONDERS.
SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO THESE DISCLAIMERS APPLY ONLY TO THE EXTENT PERMITTED BY LAW.
23. LIMITATION OF LIABILITY
23.1 Excluded Damages. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY NOR ITS AFFILIATES OR LICENSORS WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, OR ANTICIPATED SAVINGS; BUSINESS INTERRUPTION; OR LOSS, CORRUPTION, OR UNAVAILABILITY OF DATA, EVEN IF ADVISED OF THE POSSIBILITY.
23.2 Liability Cap. EXCEPT FOR EXCLUDED CLAIMS IDENTIFIED BELOW, EACH PARTY’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE AGREEMENT WILL NOT EXCEED THE GREATER OF (A) AMOUNTS CUSTOMER PAID OR OWED FOR THE AFFECTED SERVICES DURING THE 6 MONTHS BEFORE THE FIRST EVENT GIVING RISE TO LIABILITY OR (B) $100.00.
23.3 Excluded Claims. The limitations in Section 23.2 will not apply to: (a) Customer’s payment obligations under the Agreement; (b) either party’s indemnification obligations under the Agreement, but only to the extent expressly provided in the applicable indemnification provision; (c) a party’s infringement or misappropriation of the other party’s intellectual property rights; (d) Customer’s unauthorized access to, use of, disclosure of, or interference with the Services, including any attempt to circumvent security, access controls, account restrictions, company or tenant separation, usage limits, or other technical safeguards; (e) Customer’s violation of its confidentiality obligations under the Agreement; (f) fraud, willful misconduct, or gross negligence to the extent liability for such conduct cannot lawfully be limited or excluded; and (g) liabilities that cannot be limited or excluded under applicable law.
For clarity, Customer’s obligation to pay fees, charges, taxes, reimbursements, or other amounts properly due under the Agreement is not subject to the liability cap in Section 23.2.
23.4 Allocation of Risk. The fees reflect this allocation of risk. Each limitation applies regardless of legal theory and to the maximum extent permitted by law.
24. INDEMNIFICATION
24.1 By Customer. Customer will defend Operator and its affiliates, officers, directors, employees, and agents against third-party claims arising from: (a) Customer Data; (b) Customer’s or an Authorized User’s unlawful or unauthorized use; (c) Customer’s dispatch, employment, surveillance, recording, licensing, or emergency-response activities; (d) Customer’s relationship with a Serviced Company or client; or (e) Customer’s breach of Sections 6, 8, or 11. Customer will pay finally awarded damages and approved settlements.
24.2 By Operator. Operator will defend Customer against a third-party claim that Customer’s authorized use of the paid Services infringes a United States patent, copyright, or trademark, and will pay finally awarded damages and approved settlements. Operator has no obligation for claims caused by Customer Data, Customer instructions, unauthorized modifications, combinations not supplied by Operator, continued use after notice, or use contrary to the Agreement. Operator may modify or replace the affected Service, obtain continued-use rights, or terminate the affected Service and refund prepaid fees for the unused period.
24.3 Procedure. The indemnified party must promptly notify the indemnifying party, provide reasonable cooperation at the indemnifying party’s expense, and allow control of the defense and settlement. A delay relieves obligations only to the extent materially prejudicial. No settlement may admit fault or impose nonmonetary obligations on the indemnified party without consent.
25. GOVERNING LAW AND DISPUTES
25.1 Governing Law. The Agreement and any dispute, claim, or controversy arising out of or relating to the Agreement, the Services, or the relationship between the parties are governed by the laws of the State of New Mexico, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
25.2 Informal Resolution. Before filing or commencing any lawsuit, action, or other proceeding arising out of or relating to the Agreement or the Services, a party must provide the other party with written notice describing the nature and basis of the dispute and the relief requested. Authorized representatives of the parties will attempt in good faith to resolve the dispute for at least thirty (30) days after receipt of the notice. Nothing in this Section prevents either party from seeking temporary, preliminary, emergency, or other injunctive or equitable relief when reasonably necessary to prevent immediate or irreparable harm, protect confidential information or intellectual property, prevent unauthorized access to or use of the Services, or preserve the status quo.
25.3 Forum. Subject to Section 25.2, each party irrevocably agrees that any lawsuit, action, or proceeding arising out of or relating to the Agreement, the Services, or the relationship between the parties will be brought exclusively in the state courts located in Bernalillo County, New Mexico, or, where federal subject-matter jurisdiction exists, the United States District Court for the District of New Mexico. Each party irrevocably submits to the personal jurisdiction and venue of those courts and waives any objection based on improper venue, inconvenient forum, or similar grounds. Notwithstanding the foregoing, Patrol Forge LLC may seek temporary, preliminary, emergency, or other injunctive or equitable relief in any court of competent jurisdiction when reasonably necessary to protect its intellectual property, confidential information, systems, Services, data, security, or access controls.
25.4 Jury and Class Waivers. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EACH PARTY KNOWINGLY, VOLUNTARILY, AND IRREVOCABLY WAIVES ANY RIGHT TO A TRIAL BY JURY IN ANY ACTION OR PROCEEDING ARISING OUT OF OR RELATING TO THE AGREEMENT, THE SERVICES, OR THE RELATIONSHIP BETWEEN THE PARTIES. EACH PARTY FURTHER AGREES THAT ANY CLAIM WILL BE BROUGHT ONLY IN THAT PARTY'S INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLAIMANT, OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, MASS, OR REPRESENTATIVE ACTION. Nothing in this Section prohibits the consolidation of claims involving the same parties when permitted by the applicable court and agreed to by the parties.
25.5 Time Limit. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF OR RELATING TO THE AGREEMENT OR THE SERVICES MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CLAIM OR CAUSE OF ACTION ACCRUES. ANY CLAIM NOT COMMENCED WITHIN THAT PERIOD IS PERMANENTLY BARRED. This limitation does not apply to Customer's obligation to pay amounts properly due under the Agreement, Patrol Forge LLC's claims involving infringement or misappropriation of its intellectual property or proprietary rights, or any claim for which applicable law prohibits contractual limitation of the applicable limitations period.
26. CHANGES TO THESE TERMS
Patrol Forge LLC may modify or update these Terms from time to time. Unless otherwise required by applicable law, revised Terms will become effective immediately upon posting within the Services, on the Patrol Forge website, or upon notice to Customer, as specified in the revised Terms.
Patrol Forge may provide notice of material changes through the Services, the email address associated with Customer's account, an account notification, or another reasonable method. Customer is responsible for maintaining accurate and current contact information and for periodically reviewing these Terms.
To the extent applicable law requires advance notice of a particular change, that change will become effective upon expiration of the legally required notice period. If applicable law otherwise prohibits a change from taking effect immediately, the change will become effective at the earliest time permitted by law.
Customer's continued access to or use of the Services on or after the effective date of revised Terms constitutes Customer's acceptance of the revised Terms to the maximum extent permitted by applicable law. If Customer does not agree to the revised Terms, Customer must stop using the Services and may cancel its subscription in accordance with the Agreement.
Changes may apply to existing subscriptions, accounts, users, and Services from and after the effective date and are not required to wait until Customer's next renewal unless applicable law expressly requires otherwise. Revised Terms will not retroactively alter the parties' rights or obligations with respect to a claim or dispute that arose before the effective date of the applicable revision, unless the parties expressly agree otherwise or applicable law permits such application.
27. ELECTRONIC COMMUNICATIONS AND NOTICES
**27.1 Electronic Communications.** Customer consents to receive agreements, disclosures, invoices, receipts, account communications, notices, and other records electronically, including by email and through the Services. Customer agrees that electronic communications satisfy any legal requirement that such communications be in writing to the maximum extent permitted by applicable law. Customer is responsible for maintaining a valid and current email address and other contact information associated with its account.
Customer may request information regarding the availability of paper copies or withdrawal of consent to receive communications electronically by contacting Patrol Forge at the contact information designated within the Services or on the Patrol Forge website. Any withdrawal of electronic consent is subject to applicable law and may affect Customer's ability to use the Services if electronic communications are reasonably necessary to provide or administer the Services.
27.2 Contract and Legal Notices. Any formal legal notice, demand, claim, or other notice required under the Agreement to be provided to Patrol Forge LLC ("Operator") must be in writing and delivered to Operator's registered agent at:
Patrol Forge LLC
c/o Registered Agents Inc.
1209 Mountain Road Pl NE, STE R
Albuquerque, NM 87110
United States
Notices to Operator under this Section must be delivered by personal delivery, nationally recognized overnight courier, or certified or registered U.S. mail with return receipt requested. Notice is effective upon confirmed delivery or documented refusal of delivery.
Formal notices to Customer may be delivered to the account owner's email address, mailing address specified in the applicable Order Form, or other primary contact information maintained in Customer's account. Customer is responsible for keeping such information accurate and current. Notice to Customer by personal delivery or courier is effective upon delivery; notice by mail is effective upon confirmed delivery or documented refusal of delivery; and notice by email is effective on the next business day after transmission, provided Operator does not receive a delivery failure or similar notification.
27.3 Operational Notices. Notwithstanding Section 27.2, routine or operational communications, including service announcements, billing and payment notices, invoices, security notifications, privacy notices, maintenance notices, availability notices, account notifications, product or feature changes, and other communications concerning the administration or operation of the Services, may be delivered through the Services, by email, or by another reasonable electronic method and are not required to follow the formal notice procedures in Section 27.2 unless applicable law expressly requires otherwise.
29. GENERAL TERMS
29.1 Assignment. Neither party may assign the Agreement without the other’s prior consent, except either party may assign it in connection with a merger, reorganization, sale of substantially all relevant assets, or transfer to an affiliate, provided the assignee assumes the obligations and is not a direct competitor of the non-assigning party. An unlawful assignment is void.
29.2 Subcontractors. Operator may use affiliates and subcontractors to provide the Services and remains responsible for their performance to the extent required by the Agreement.
29.3 Force Majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, excluding Customer’s payment obligations. Affected obligations will resume as soon as reasonably practicable.
29.4 Independent Contractors. The parties are independent contractors. The Agreement does not create a partnership, franchise, joint venture, fiduciary, employment, or agency relationship.
29.5 No Third-Party Beneficiaries. The Agreement benefits only the parties and permitted successors and assigns, except indemnified parties as expressly stated.
29.6 Waiver. A waiver must be in writing and signed by the waiving party. Failure to enforce a provision is not a waiver.
29.7 Severability. If a provision is unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions remain effective.
29.8 Entire Agreement. The Agreement is the complete agreement concerning its subject and supersedes prior or contemporaneous proposals, communications, and agreements on that subject.
29.9 Interpretation. “Including” means “including without limitation.” Headings are for convenience. The parties agree the Agreement will not be construed against a party solely because it drafted the language.
29.10 Counterparts and Electronic Acceptance. Order Forms and amendments may be executed in counterparts and by electronic signature. Electronic acceptance and records have the same effect as originals to the extent permitted by law.
